Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the AdsVitals website and application at adsvitals.com (the "Service"), operated by MGBB COMERCIO LLC, a New Mexico (USA) limited liability company, registered at 412 W 7th St Ste 962, Clovis, NM 88101, USA ("AdsVitals", "we", "us"). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What AdsVitals is

AdsVitals is a diagnostic tool for Meta (Facebook/Instagram) advertising campaigns. You enter your own campaign metrics, and the Service applies transparent, rules-based logic and ecommerce benchmarks to identify likely bottlenecks and suggest actions.

AdsVitals is provided for informational purposes only. It is not financial, legal, marketing, or professional advice, and it does not manage, access, or connect to your ad accounts. All outputs — including scores, estimated impact, and suggested actions — are estimates to support your own judgment, not guarantees of any result.

3. Eligibility and accounts

You must be 18 years or older to use the Service. You are responsible for the activity under your account and for keeping access to your email (used for sign-in) secure. You agree to provide accurate information and to use the Service only for lawful purposes.

4. Plans, billing, and cancellation

• Free plan — includes a limited number of diagnoses at no cost.
• Pro plan — US$19 per month, billed through Stripe on a recurring basis until cancelled. Payment details are handled by Stripe; we do not store your card data.
• Renewal — the subscription renews automatically each month unless cancelled.
• Cancellation — you may cancel at any time through the Stripe customer portal. Your Pro access continues until the end of the current billing period; we do not prorate or refund partial periods.
• Refunds — we do not offer automatic refunds. We may grant refunds case by case at our discretion, and we always honour mandatory consumer rights that apply to you (for example, statutory withdrawal rights for consumers in the EU).
• Price changes — we may change pricing with prior notice; changes do not affect the period you have already paid for.

5. Acceptable use

You agree not to:

• resell, sublicense, or commercially exploit the Service without our permission;
• scrape, crawl, or use automated means to access the Service beyond normal use;
• reverse engineer, copy, or attempt to extract our benchmarks, rules, or source code;
• interfere with, overload, or attempt to gain unauthorized access to the Service or other users' data;
• use the Service for any unlawful, infringing, or abusive purpose.

6. Your data and content

You retain ownership of the campaign data and any campaign names you enter. You grant us a limited licence to process and store that data to provide the Service, save your history, and operate your account, as described in our Privacy Policy. You are responsible for ensuring you have the right to provide any data you submit.

7. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that diagnoses, benchmarks, or estimates are accurate for your specific situation, or that using the Service will improve your ROAS, revenue, or any other outcome. Any business decision you make based on the Service is your own responsibility.

8. Limitation of liability

To the maximum extent permitted by law, AdsVitals and MGBB COMERCIO LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Service. To the extent we are found liable, our total liability is limited to the amount you paid us for the Service in the twelve (12) months preceding the claim. Nothing in these Terms excludes liability that cannot be excluded by law.

9. Affiliate links

Some links on the Service — for example on our Partners page — are affiliate links (such as Shopify, via the Impact network). We may earn a commission if you sign up or purchase through them, at no extra cost to you. This does not affect our rules-based diagnoses. See our Privacy Policy and Partners page for details.

10. Intellectual property

The AdsVitals name, logo, design, diagnostic engine, rules, benchmarks, and content are owned by MGBB COMERCIO LLC and protected by applicable laws. These Terms do not grant you any right to use our intellectual property except as needed to use the Service normally.

11. Third-party services

The Service relies on third-party providers (including Supabase, Stripe, Resend, Vercel, Cloudflare, Google sign-in, and Meta for advertising measurement). Your use of features powered by them may also be subject to their respective terms and policies. We are not responsible for third-party services.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that may cause harm or legal risk. Upon termination, your right to use the Service ends; sections that by their nature should survive (e.g., disclaimers, limitation of liability, intellectual property, governing law) will survive.

13. Changes to these terms

We may update these Terms from time to time. We will revise the "Effective date" and version above and, for material changes, provide a more prominent notice. Your continued use after changes take effect means you accept the updated Terms. These Terms are published in English, Portuguese, and Spanish; in case of any discrepancy, the English version prevails.

14. Governing law and jurisdiction

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the courts located in New Mexico, USA, except where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence.
